1. Acceptance of these Terms

By accessing or using Solrii, creating an account, opening a store, listing a product, placing an order, or using any Solrii feature, you agree to these Terms and to any policies referenced in them, including the Privacy Policy and Prohibited Items Policy.

If you do not agree, do not use Solrii.

2. What Solrii is

Solrii provides marketplace technology, storefronts, catalog tools, search, ordering features, seller tools, membership plans, payment integrations, and related services. Unless Solrii is explicitly identified as the seller of a specific item, Solrii is not the seller, manufacturer, owner, importer, distributor, or merchant of the products listed by independent sellers.

A purchase from an independent seller creates a transaction between the buyer and that seller. Sellers are responsible for their products, descriptions, pricing, inventory, fulfillment, shipping, pickup, taxes, returns, refunds, warranties, customer service, and compliance with applicable law.

3. Eligibility and accounts

You must be legally able to enter into a binding agreement to use Solrii. If you use Solrii on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for providing accurate information, maintaining the security of your password and account, and for activity that occurs under your account. You must promptly update information that becomes inaccurate or incomplete.

You may not impersonate another person or business, create accounts for deceptive purposes, interfere with another user's account, or attempt to bypass account restrictions or security controls.

4. Seller stores

Sellers may create a Solrii store and receive a Solrii storefront address or subdomain. Store names, handles, and addresses are subject to availability and may not infringe another person's rights, mislead users, or falsely imply endorsement by Solrii.

Sellers are responsible for all information displayed through their store, including business information, product listings, prices, inventory, shipping settings, pickup options, return policies, and customer-service information.

Solrii may edit, reject, hide, suspend, remove, or require changes to store information that violates these Terms, creates legal or security risk, misleads users, or interferes with the marketplace.

5. Seller memberships

Solrii may offer Free, Shop, Pro, or other membership plans. Paid plans are recurring subscriptions billed separately from product sales. Current plan pricing, product limits, image limits, analytics access, and other included features are shown in the seller dashboard.

Paid memberships renew automatically until canceled. Sellers can manage payment methods, invoices, and cancellation through the billing tools provided by Solrii and Stripe.

Canceling a paid membership does not automatically delete the seller's store, products, orders, or customer history. At the end of the paid period, the store may move to the Free plan or another applicable plan. If the active catalog exceeds the new plan's limits, new selling activity or listings may be paused until the seller reduces usage or selects another plan.

6. Product listings and seller responsibilities

Sellers must ensure that every listing is accurate, lawful, and not misleading. Listings should accurately describe the product's identity, condition, quantity, price, material facts, variants, availability, and any limitations that would matter to a reasonable buyer.

Sellers may not:

• List counterfeit, stolen, illegal, unsafe, or prohibited products.
• Misrepresent a product's brand, origin, condition, authenticity, age, scarcity, or value.
• Use deceptive photos, descriptions, reviews, pricing, or availability claims.
• List products the seller does not have the right or ability to sell or fulfill.
• Use Solrii to evade laws, sanctions, payment-network rules, or platform restrictions.

Additional restrictions are described in the Prohibited Items Policy.

7. Catalog, brands, categories, and variations

Solrii provides catalog structure to make products easier to list, search, filter, and compare. Categories, brands, franchises, product attributes, and variations may be suggested, predefined, or approved by Solrii.

Sellers remain responsible for the accuracy of the information they submit. Solrii may normalize, organize, approve, merge, rename, or remove catalog values when needed to improve marketplace quality, search, filtering, or consistency.

8. Payments

Seller card payments

Sellers may connect their own Stripe account to accept card payments. For connected sellers, product payments are processed for the seller's connected Stripe account. Solrii does not take a commission or application fee from product sales unless a future fee is clearly disclosed before it applies.

Stripe may collect identity, business, tax, banking, payment, dispute, refund, and payout information directly from sellers and buyers. Use of Stripe is also subject to Stripe's terms and policies.

COD and direct payment

Some sellers may allow cash on delivery, cash on pickup, or another direct payment method. In those cases, Solrii records and helps manage the order, but Solrii does not receive, hold, guarantee, or reconcile the payment between buyer and seller.

9. Orders and multi-seller purchases

A buyer may be able to purchase from multiple sellers through Solrii. Each seller remains independently responsible for that seller's portion of the order. Payment, fulfillment, shipping, pickup, returns, refunds, and disputes may therefore be handled separately by seller.

An order is not guaranteed until the applicable seller and payment system accept it. Solrii may cancel, release, or modify an order or inventory reservation when payment fails, inventory is unavailable, fraud is suspected, a seller cannot fulfill the order, or the transaction violates these Terms.

10. Pricing, taxes, shipping, and pickup

Sellers set their own product prices unless otherwise stated. Sellers are responsible for determining and complying with taxes, fees, licenses, registrations, product rules, shipping restrictions, and other legal obligations that apply to their sales.

Shipping charges, delivery estimates, pickup options, and fulfillment times are determined by the seller. Buyers are responsible for providing accurate delivery or pickup information.

11. Returns, refunds, disputes, and chargebacks

Sellers are responsible for clearly communicating and honoring their return and refund policies, subject to applicable law. Buyers should first contact the seller regarding a product, fulfillment, return, or refund issue.

For card transactions processed through a seller's connected Stripe account, refunds, disputes, chargebacks, and related payment matters may also be governed by Stripe's rules and the seller's Stripe account.

Solrii may provide tools or assistance to help buyers and sellers communicate, but Solrii is not required to decide private disputes between users and does not guarantee a particular outcome.

12. Buyer responsibilities

Buyers agree to:

• Provide accurate account, payment, shipping, and pickup information.
• Pay for orders they place and authorize.
• Review product descriptions, seller policies, and order details before purchasing.
• Communicate honestly with sellers and Solrii regarding order issues.
• Not abuse refunds, disputes, chargebacks, promotions, reviews, or marketplace protections.

13. Reviews, messages, and user content

You retain ownership of content you submit to Solrii, including product descriptions, photos, store information, messages, reviews, and other materials, subject to any rights belonging to others.

By submitting content, you grant Solrii a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, resize, distribute, and otherwise use that content as reasonably necessary to operate, promote, secure, and improve Solrii and the applicable store or listing.

You may not submit content that is illegal, infringing, fraudulent, defamatory, threatening, abusive, deceptive, malicious, or designed to distribute malware or interfere with the service.

14. Intellectual property

Solrii, its software, interface, marketplace design, branding, logos, and original platform content are protected by intellectual-property laws and may not be copied, reverse engineered, redistributed, or used to create a competing service except as allowed by law or with written permission.

Sellers and users must respect copyrights, trademarks, patents, publicity rights, and other rights belonging to third parties. Solrii may remove content or listings in response to credible infringement claims or legal requests.

15. Prohibited conduct

You may not use Solrii to:

• Commit fraud, theft, money laundering, identity theft, or other unlawful activity.
• Manipulate search, reviews, prices, inventory, accounts, transactions, or marketplace metrics.
• Scrape, crawl, overload, attack, probe, or interfere with Solrii without authorization.
• Upload malware or attempt to gain unauthorized access to accounts, servers, data, or systems.
• Harass, threaten, exploit, or deceive another user.
• Circumvent fees, plan limits, security controls, account restrictions, or marketplace policies.

16. Suspension and termination

Solrii may restrict, suspend, or terminate an account, store, listing, feature, or transaction when we reasonably believe it violates these Terms, creates legal or financial risk, threatens marketplace safety, harms users, interferes with the service, or is required by a payment provider, government authority, or applicable law.

Where practical, we may provide notice or an opportunity to correct an issue, but we are not required to do so when immediate action is appropriate for safety, fraud prevention, legal compliance, or platform security.

17. Third-party services

Solrii may integrate with third-party services such as Stripe, hosting providers, shipping services, analytics providers, email services, fulfillment providers, AI services, or other tools. Those services are operated by third parties and may have separate terms, privacy policies, fees, eligibility requirements, and service limits.

Solrii is not responsible for the independent acts, omissions, outages, policies, or decisions of third-party services.

18. Marketplace availability and changes

We may add, change, suspend, or discontinue features, plans, limits, categories, integrations, or other parts of Solrii. We may also perform maintenance or experience outages.

We do not guarantee that every feature will always be available, uninterrupted, error-free, or compatible with every device, browser, product, seller, or third-party service.

19. Disclaimers

To the fullest extent permitted by law, Solrii is provided on an "as is" and "as available" basis. Solrii does not guarantee the quality, safety, legality, authenticity, availability, merchantability, fitness, accuracy, or performance of products sold by independent sellers.

Solrii does not guarantee that a buyer or seller will complete a transaction, that a product will meet a user's expectations, or that a seller, buyer, listing, review, or other user-provided content is accurate or reliable.

20. Limitation of liability

To the fullest extent permitted by applicable law, Solrii and its operators, affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, loss of goodwill, or losses arising from transactions between buyers and independent sellers.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

21. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Solrii and its operators, affiliates, officers, employees, contractors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from your use of Solrii, your products or listings, your transactions, your violation of these Terms, your violation of law, or your infringement of another person's rights.

22. Privacy

Our collection and use of personal information is described in the Solrii Privacy Policy. By using Solrii, you acknowledge that information may be processed as described there.

23. Changes to these Terms

We may update these Terms as Solrii changes. If we make material changes, we may provide notice through the site, account dashboard, email, or another reasonable method. Continued use of Solrii after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

24. Severability and no waiver

If a provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law. Failure by Solrii to enforce a provision does not waive the right to enforce it later.
